6.All disputes arising out of or in connection with the presentcontract shall be finally settled under the Rules of Arbitration ofthe International Chamber of Commerce by one or more arbitratorsappointed in accordance with the said Rules.

7. Ifthe buyer find quality problem of the slats after receiving thegoods, they shall inform us within 30 days. If they won''t informus any quality problem within 30 days, we will not accept any claimafter 30 days. The buyer shall tell us that how many qualityproblem coils and how long of the problem slats exactly when theyinform us quality problem slats well(including the plateinformation and photos).and when we get the exact quantity slats ofquality problem we will compensate the buyer by slats in next orderafter the seller checked.

8.Either party shall not be held responsible for failure or delay toperform all or any part of this contract due to flood, fire,earthquake, draught, war or any other events which could not bepredicted, controlled, avoided or overcome by the relative party.However, the party affected by the event of Force Majeure shallinform the other party of its occurrence in writing as soon aspossible and thereafter sends a certificate of the event issued bythe relevant authorities to the other party within 15 days afterits occurrence.

9.Should the buyer fail to make payment on time as Payment term, theseller will notice the buyer that they should make payment for thegoods in a month. If deferred payment more than a month and withinsix months, the buyer should agree to pay a penalty, which equals0.1% of the amount to be paid for each day of payment delay. Ifdeferred payment beyond six months, the buyer should pay a penalty,which equals 30% of the amount to be paid for the goods. And thesellers has right to handle the goods.

10.The sellers commit to delivery the goods within the delivery time.Should the seller fail to make delivery on time, If delivery timebeyond the exact time of contract stipulations and within a week,the seller will not hold responsibility. If delivery time beyond aweek and within a month, the seller should pay 0.1% of the amountto be paid for each day of payment delay. If delivery time beyond amonth, the sellers should pay 30% of the total amount for apenalty. And the penalty is for the deposit of the buyer''s nextcontainer.

11.Quality should be accord with our factory''s quality standard, andcustomer should accept the quality reasonable tolerance, the colorstandard is DE less than 1. And the normal reject ratio is 5‰. Thetolerance of thickness is /-0.012. For 65% of the total quantitythere will be no break point, and the rest 35% will have not morethan three break points. Regarding other components of blindspurchased from other factory, seller should inform buyer inadvance. Meanwhile the buyer should be informed the quality will beaccord with supplier''s quality standard. The seller will not takethe responsibility due to the quality problem or delivery time. Butthe seller should try to reduce the loss of buyer and coordinatewith supplier to solve the problem.

12.Quantity:**coils, 3% more or less, at Seller''s option and atcontract price
